Understanding mergers and acquisitions (M&A)

Serbian mergers and acquisitions (M&A) encompass various financial transactions aimed at consolidating companies or their significant business assets. These transactions include:

  • outright purchases;
  • mergers to create new entities;
  • asset acquisitions;
  • stock tender offers;
  • even hostile takeovers.

Although the terms mergers and acquisitions are often used interchangeably, they have distinct meanings.

Acquisition:

An acquisition occurs when one company purchases and absorbs another, becoming the new owner. In this scenario, the acquiring company typically gains control over the target company’s assets, operations, and personnel.

Merger:

In contrast, a merger involves two companies of roughly equal size coming together to form a single new entity, rather than remaining separate entities. This type of merger is often referred to as a merger of equals. In mergers, both companies consolidate their resources, expertise, and market presence to pursue shared goals and growth opportunities.

While acquisitions result in one company taking over another, mergers involve a collaborative effort between two entities to create a stronger, unified organization. Serbian M&A activities play vital roles in reshaping industries, expanding market reach, and driving growth in the business landscape. Share purchase and acquisition in company transactions

The acquisition of shares signifies obtaining a portion of ownership in the target company, thereby indirectly acquiring its business, assets, and rights. When a buyer purchases a stake in a target firm, he/she inherently assumes ownership of its business operations, assets, rights, liabilities, and obligations.

Moreover, any legal actions undertaken by or against the seller of the share before the registration of the share transfer, as per the registration laws, are considered actions towards or by the buyer of the share. This principle holds unless such actions are incompatible with the nature of the legal proceedings.

In essence, the purchase of shares not only involves the transfer of ownership but also encompasses a broader indirect acquisition of the target company’s business, assets, and liabilities. Both parties involved in share transactions must understand and adhere to their respective rights and obligations under applicable laws and regulations.

Overview and regulations of merger control in Serbia

In Serbia, the Commission for Protection of Competition of the Republic of Serbia, headquartered in Belgrade, holds authority over merger control. This regulatory body ensures fair competition practices and monitors Serbian mergers and acquisitions.

The Serbian merger control regime is triggered if either of the following thresholds is surpassed:

  • Global turnover threshold:If the combined global turnover of the parties involved exceeds EUR 100 million, and at least one party’s turnover in Serbia surpasses EUR 10 million.
  • Serbian turnover threshold: If the combined turnover of the parties in Serbia exceeds EUR 20 million, and at least two parties individually have a Serbian turnover exceeding EUR 1 million.

When these thresholds are crossed, the parties are obligated to refrain from executing the transaction until receiving clearance from the Serbian competition authority, adhering to the standstill obligation. Additionally, within 15 days of finalizing the transaction agreement, the parties must notify the Serbian competition authority of the planned transaction. A standard filing fee for obtaining Phase I clearance in Serbia typically amounts to EUR 25,000. This fee contributes to covering administrative costs associated with the merger review process.

In essence, these regulations aim to ensure transparency, fairness, and healthy competition within the Serbian market, safeguarding the interests of businesses and consumers alike. If you are interested in doing any M&A in Serbia, we can offer legal help.
